Purpose of Shareholders’ Agreement..
This makes reference to the ability of the shareholders under the relevant corporate law to enter into a unanimous shareholders’ agreement, which in turn can restrict the power of the directors to manage the corporation. To the extent that the shareholders’ agreement does transfer management powers from the directors to the shareholders, the corporate law may also transfer a duty of care to the shareholders to act in the best interests of the corporation.
