What is a “Background” or “Recitals” clause? – Confidentiality Agreement..
The recitals will set the background for the creation of the confidentiality agreement. It will therefore include the purpose of the agreement, the benefits or considerations to be exchanged between the parties, the contractual relationship, and a statement that the recipient of the confidential information (e.g. information shared during commercial negotiations and due diligence process of a merger or acquisition) not use the information in any way that would be detrimental or harmful to the disclosing party.
