What is a Representations, Warranties and Covenants – Capacity to Enter Into a Binding Contract clause?..
The borrower represents and warrants that he/she has the capacity to borrow from the issuer. If a party to the agreement is a corporation, then the corporation represents and warrants that it is a properly incorporated within the jurisdiction and the person signing the agreement has the authority to do so. There may be some other specific financial warranties.
