What is an “Entire Agreement” clause?..
The entire agreement clause is designed to prevent the parties from relying on previous discussions to give meaning to the written terms of the final executed agreement. It is important that the parties’ expectations are fully and accurately captured by the terms of the final agreement, and that the parties do not expect to rely on oral representations which do not form part of the terms of the agreement.
