This clause allocates the responsibility for costs associated with the transaction either holding each party responsible for their own costs, or one party responsible for all costs up to some maximum amount. All other parties will be responsible for their own costs.Such a clause could also include a "break/breakup/termination fee" component. This will indicate that one party must pay a fee to compensate the other should the transaction fail to close, whether by circumstance or by choice. This could be payable by whichever party is responsible for the transaction's failure.
