What is an “Expenses” clause?..
This clause allocates the responsibility for costs associated with the transaction either holding each party responsible for their own costs, or one party responsible for all costs up to some maximum amount. An example of this clause is: Each party will be responsible for its own costs in connection with this instrument and the transaction contemplated herein [OR The Corporation will be responsible for its own costs and the costs of the Investor up to a maximum of $[______]. All other parties will be responsible for their own costs.
