What is an “Assignment/Transfer of Rights” clause? – IP Transfer Agreement..
This clause can function to actively transfer rights ("the Assignor herby transfers...."), and it can function to prevent the assignor from claiming any rights to the IP in the future ("the Assignor disclaims any right..."). It is important to use both formulations in the agreement if the Assignor is transferring all rights, now and in the future, to the Assignee.
